Senior Legal Counsel – M&A, Corporate & Finance

About the role

We are seeking a Senior Legal Counsel (M&A/Corporate/Finance) for a leading international renewable‑energy player in Ukraine. The position is based in Kyiv, follows a hybrid work format, and reports to the Head of Legal & Compliance.

Key responsibilities

• Support M&A transactions, including acquisition/disposal of assets, partnership structuring, legal due diligence, drafting and negotiating documents, and closings.
• Provide legal support for financing projects with international and local financial institutions, covering finance structuring, documentation and security arrangements.
• Handle corporate matters for group companies in Ukraine and the UK, such as governance, resolutions, register updates and restructuring.
• Advise on foreign economic activity and cross‑border operations, including contracts with foreign counterparties and UK group entities.
• Support HR‑related legal issues, including employment policies, hiring and termination processes.

Required profile

• Native Ukrainian speaker with English level B2+ and strong legal drafting and negotiation skills.
• 7+ years of relevant legal experience at a TOP‑20 law firm (corporate/finance) or in‑house at a medium‑to‑large international company.
• Full higher legal education; LL.M. from a foreign university or studies focused on English contract law is a plus.
• Strong expertise in commercial, contract and corporate law, with experience in English‑law‑governed agreements.
• Proven experience supporting complex M&A transactions and conducting legal due diligence.
